Public Offer

This document is an official public proposal (offer) to enter into an agreement for the provision of access to the web3e crypto payment gateway. By registering, using the gateway, or accepting your first payment through it, you agree to the terms of this Offer in full. If you do not agree with the terms, do not use the Gateway. web3e is a technology provider of a crypto payment gateway; it is not a bank, not a money-transmitter or e-money institution, not a custodian bank, not a crypto exchange, and does not provide investment, financial, tax, or legal advice.

1. General Provisions and Definitions

The following terms are used in this Offer:

Offer — this public proposal to enter into an agreement on the terms set out in this document.

Acceptance — full and unconditional acceptance of the terms of the Offer by performing the actions specified in Section 3.

Gateway (web3e) — the crypto payment gateway provided as software over the internet: address-per-invoice generation, hosted checkout, a signed REST API, HMAC-signed IPN webhooks, custodial and non-custodial settlement, and crypto payouts.

Provider (web3e) — the party providing access to the Gateway, operating on the website web3e.cc.

Merchant — a legal entity, sole proprietor, or individual that has entered into the agreement by Acceptance of the Offer and uses the Gateway to accept crypto payments.

Buyer (end customer) — a person who pays the Merchant through the Gateway. The Buyer is not a party to this Offer.

Invoice — a payment request created through the Gateway, with a dedicated deposit address (or shared address plus memo/tag) and a token-to-accounting-currency rate locked at the time of creation (FX-lock).

Balance — in custodial mode, the record of the Merchant's incoming funds held by the Provider solely to enable payouts on request.

Payout — an on-chain transfer of crypto assets initiated by the Merchant from their Balance to an external address.

Commission — the Provider's fee charged per successful transaction, as described in Section 5.

Account — the Merchant's account that provides access to the Gateway.

2. Subject of the Offer

The Provider grants the Merchant access to the functionality of the web3e crypto payment gateway, and the Merchant undertakes to use it in accordance with this Offer and to pay the applicable Commission.

The Gateway enables the Merchant to accept crypto payments from Buyers in stablecoins (USDT, USDC, DAI) and native coins across the supported blockchains, via address-per-invoice, hosted checkout, and a signed API with IPN webhooks. The current list of supported networks and assets is published in the documentation and in the merchant dashboard and may change.

The Merchant chooses, per Account, between two settlement modes: (a) custodial — the Provider records incoming funds as the Merchant's Balance, which the Merchant withdraws by Payout on request; and (b) non-custodial — funds settle directly to the Merchant's own wallet derived from the Merchant's extended public key (xpub), and the Provider never holds the Merchant's private key. Non-custodial settlement is available in the supported networks; the current list is published in the documentation.

The Gateway is provided as software (software-only). The Provider is not a party to the underlying blockchain transactions between Buyer and Merchant, does not operate any blockchain network, and does not exchange, convert, or invest crypto assets on the Merchant's behalf.

Access is provided on an "as is" and "as available" basis within the functionality described on the website and in the documentation at the time of use.

3. Acceptance of the Offer

Acceptance of the Offer is deemed to be the Merchant's performance of any of the following actions: registering an Account, beginning to use the Gateway, generating an API key, or creating or receiving the first payment through the Gateway.

Performing Acceptance constitutes the Merchant's full and unconditional agreement with all terms of this Offer and is equivalent to entering into an agreement in writing.

If Acceptance is performed on behalf of an organization, the person performing the Acceptance confirms that they have the authority to act on behalf of such organization.

4. Merchant Account and API Keys

To use the Gateway, the Merchant creates an Account and ensures the accuracy and completeness of the data provided at registration, including any information required for identity and compliance checks.

The Merchant is issued API keys, webhook signing secrets, and other credentials. The Merchant is responsible for safeguarding these credentials and for all actions performed using their Account and keys, and must immediately notify the Provider of any suspected compromise or unauthorized access.

The Merchant is responsible for verifying the HMAC signature, timestamp, and nonce of every IPN webhook before acting on it, and for correctly configuring deposit addresses, the xpub (in non-custodial mode), and payout settings. The Provider is not liable for losses resulting from an incorrectly configured or compromised xpub, address, or key controlled by the Merchant.

The Merchant independently manages the sub-users of their Account and the distribution of access permissions among them, and enables confirmation of Payouts by a one-time code sent to e-mail where it considers this necessary.

5. Fees, Settlement, and Payouts

The Provider's Commission is charged only on each successful transaction. The rate depends on the Merchant's monthly turnover under the tier schedule published on the Provider's website; the Merchant's current rate is shown in the merchant dashboard. In addition to the turnover-based rate, a conversion surcharge is retained in cases where the settlement requires a currency conversion; its size is published in the merchant dashboard and in the documentation. There is no monthly fee, no setup fee, and no lock-in.

In custodial mode, confirmed incoming funds are credited to the Merchant's Balance net of, or subject to, the applicable Commission and any network fees, and are held by the Provider solely to enable Payouts. In non-custodial mode, funds settle directly to the Merchant's wallet, and the Commission is charged as described in the documentation.

Stablecoins are credited on an approximately 1:1 basis; the token-to-accounting-currency rate for reporting is locked at Invoice creation (FX-lock). The quote applies within the payment window of the Invoice; where funds arrive after that window has expired, the settlement is calculated at the rate in effect at the moment of crediting. The Provider does not guarantee the market value, peg, or convertibility of any token.

Payouts are crypto-only: on-chain transfers to external addresses, confirmed by a one-time code sent to the Merchant's e-mail where the Merchant has enabled such confirmation, and may be processed in batch. The Provider does not offer any card, bank, fiat, or other off-chain withdrawal. Payouts are subject to available Balance and the screening described in Section 6. A network fee is retained from each Payout at the Provider's tariff; that tariff is an estimate per network and may differ from the actual cost of the transaction in either direction.

The Provider may change Commission rates and the list of supported assets and networks; changes take effect for transactions occurring after they are published or communicated. Taxes and duties related to the Merchant's activity are the sole responsibility of the Merchant.

6. AML and Sanctions Screening

The Provider applies automated anti-money-laundering (AML) and sanctions screening. The sender of every incoming deposit and the destination of every Payout are screened against sanctions lists (including OFAC) and on-chain risk and scam lists before funds are moved.

The Provider may quarantine a deposit, block or delay a Payout, place funds on hold, request additional information or documentation, and suspend or terminate an Account where a screening hit, sanctions exposure, suspected fraud or money laundering, or a breach of this Offer is detected.

The Merchant acknowledges that screening is a risk-mitigation measure and does not transfer to the Provider the Merchant's own regulatory obligations. The Merchant remains solely responsible for compliance with applicable AML, counter-terrorist-financing, and sanctions law in its own jurisdiction.

Screening decisions may be automated and, where required to comply with law or to protect the Provider or third parties, may be applied without prior notice.

7. Irreversibility of Transactions and Refunds

Blockchain transactions are irreversible and final. Once a payment is confirmed on-chain, it cannot be recalled, reversed, or charged back by the Provider. There are no chargebacks in the sense used by card networks.

Within the Gateway, a refund is an accounting operation: the amount is debited from the Merchant's Balance and the payment is marked as refunded. The Provider does not send the refunded amount to the Buyer on-chain — the actual transfer to the Buyer is arranged by the Merchant itself, outside the Gateway, at the Merchant's discretion and under the Merchant's own policy. A refund may be impossible where the original sender address cannot be reliably determined or is itself flagged.

The Merchant is responsible for verifying payment details and the destination address before confirming any transfer or Payout. The Provider is not liable for funds sent to a wrong, mistyped, or incompatible address or network by the Merchant or a Buyer, or for deposits sent outside an active Invoice window; recovery of such funds, where technically possible, is provided on a best-effort basis and is not guaranteed.

8. Crypto Risk and No Guarantee of Value

Crypto assets are volatile and carry inherent risk. Their value may fluctuate significantly, and networks may experience congestion, forks, reorganizations, halts, or failures outside the Provider's control. All such risk is borne by the user.

The Provider does not guarantee the market value, liquidity, peg, or convertibility of any token, including stablecoins credited on an approximately 1:1 basis. The Provider provides no investment, financial, or tax advice, and nothing in the Gateway constitutes such advice.

Custodial Balances are not bank deposits. They are not insured, guaranteed, or protected by any deposit-guarantee or investor-compensation scheme, and are held solely to enable Payouts. The Provider is not a bank, custodian bank, e-money institution, money transmitter, or exchange.

9. Merchant Obligations and Prohibited Activities

The Merchant undertakes to use the Gateway only for a lawful business, in accordance with all laws applicable to the Merchant, and to obtain and maintain any licences, registrations, and consents its activity requires.

The Merchant is solely responsible for its own KYC/AML and sanctions compliance toward its Buyers, for the lawfulness of the goods or services it sells, for its relationship with Buyers (including refunds and disputes), and for reporting and paying all applicable taxes.

The Merchant must not use the Gateway for, or in connection with, any prohibited activity, including: money laundering or terrorist financing; sale of illegal goods or services; darknet marketplaces; unlicensed financial, gambling, or securities activity where a licence is required; fraud, scams, or Ponzi/pyramid schemes; ransomware, extortion, or theft-derived funds; child sexual abuse material; sanctions evasion; or any transaction involving sanctioned persons or jurisdictions.

Breach of this Section entitles the Provider to quarantine funds, block Payouts, and suspend or terminate the Account, and may be reported to the relevant authorities where required by law.

10. Provider Obligations, Availability, and Support

The Provider undertakes to make reasonable efforts to provide access to the Gateway and to keep it operational, and to process confirmed transactions and permitted Payouts in accordance with this Offer.

The Gateway is provided "as is" and "as available". The Provider does not guarantee uninterrupted or error-free operation. Scheduled and unscheduled interruptions are possible, related to maintenance, updates, blockchain-network conditions, or circumstances beyond the Provider's control.

The Provider may develop, change, add, or remove individual features of the Gateway and the list of supported assets and networks, while striving to preserve its overall usefulness to the Merchant.

The Provider provides technical support in the scope and by the methods indicated on the website and in the documentation.

11. Liability and Its Limitation

To the maximum extent permitted by applicable law, the Provider is not liable for lost profits or for indirect, incidental, or consequential damages, or for damages arising from the use of or inability to use the Gateway.

The Provider is not liable for the operation of any blockchain network, for network congestion, fees, forks, or reorganizations, for the market price, peg, or convertibility of any token, or for the acts or omissions of Buyers, wallets, exchanges, node providers, or other third parties.

The Provider's aggregate liability under this Offer is limited to the total amount of Commission actually received by the Provider from the Merchant during the three months preceding the event giving rise to liability.

Nothing in this Offer excludes or limits liability that cannot be excluded or limited under applicable law.

12. Term, Amendment, Termination, and Suspension

The Offer is in effect from the moment of Acceptance until termination on the grounds provided for by this document or applicable law.

The Provider may amend the Offer. A new version takes effect from the moment of its publication, unless another date is specified. Continued use of the Gateway constitutes agreement with the changes.

The Merchant may terminate the agreement at any time by ceasing use of the Gateway and withdrawing any available Balance, subject to Sections 6 and 7. Commission already charged on completed transactions is non-refundable.

The Provider may suspend or terminate the Merchant's access, quarantine funds, or block Payouts in the event of a breach of this Offer, a screening or sanctions hit, suspected unlawful activity, or a legal requirement. Where funds are lawfully due and not blocked, the Provider makes reasonable efforts to enable their Payout.

13. Force Majeure

The parties are released from liability for failure to perform or improper performance of obligations if it is caused by force majeure circumstances: natural disasters, military actions, acts of authorities, accidents, failures of communication networks or blockchain networks, and other circumstances beyond the reasonable control of the parties.

The party affected by such circumstances must notify the other party within a reasonable time.

14. Governing Law and Dispute Resolution

The parties seek to resolve disputes arising from this Offer through negotiations.

If agreement is not reached, disputes are subject to resolution in accordance with applicable law.
