These Terms of Use govern access to and use of the web3e crypto payment gateway. By accessing or using the Service, you accept these Terms in full. If you do not agree with them, do not use the Service.

1. Acceptance of the Terms

By using the web3e Service, you confirm that you have read these Terms, understand them, and accept them in full.

If you use the Service on behalf of an organization, you confirm that you have the authority to accept these Terms on its behalf.

These Terms apply together with the Public Offer and the Privacy Policy.

2. Description of the Service

web3e is a crypto payment gateway that enables merchants to accept cryptocurrency payments from their buyers. It supports stablecoins and native coins on the supported blockchains — the current list of networks and assets is published in the documentation and in the merchant dashboard and may change — with a unique deposit address per invoice, hosted checkout, a signed REST API, and HMAC-signed IPN webhooks.

Settlement is available in custodial mode (web3e holds incoming funds as a merchant balance that the merchant withdraws on request) or non-custodial mode (funds settle straight to the merchant's own wallet from their xpub, and web3e never holds the private key). The merchant chooses the mode per account; non-custodial settlement is available in the supported networks, and the current list is published in the documentation.

web3e is a software service. It is NOT a bank, NOT a money-transmitter or e-money institution, NOT a custodian bank, NOT a cryptocurrency exchange, and does NOT provide investment, financial, legal, or tax advice.

The functionality of the Service may develop, change, and be supplemented over time.

3. Registration, Account and API-Key Security

To use the Service, you must create a merchant account and provide accurate and complete data.

You are responsible for the confidentiality of your credentials, API keys, IPN secrets, and payout confirmation codes, and for all actions performed using your account.

You are responsible for the correctness of the wallet addresses, xpub keys, and payout destinations you configure. Because blockchain transactions are irreversible, funds sent to an address you provided cannot be recovered by web3e.

You must immediately notify us of any unauthorized access, key compromise, or security breach.

4. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms.

You undertake to comply with applicable law, including anti-money-laundering, counter-terrorist-financing, sanctions, consumer-protection, and tax legislation applicable to you and your business.

You are responsible for the lawfulness of your own business, for the goods and services you sell, and for the actions of the users of your account.

5. Prohibited Activities

When using the Service, it is prohibited to:

sell or facilitate illegal goods or services, or use the Service for any unlawful purpose;

engage in money laundering, terrorist financing, or the movement of proceeds of crime;

transact with sanctioned persons, entities, or jurisdictions, or otherwise circumvent sanctions or export controls;

commit fraud, deception, or the use of stolen payment instruments or wallets;

use mixers, tumblers, or other techniques intended to obscure the origin of funds or to evade AML screening;

perform reverse engineering, decompilation, copying, or attempts to obtain the source code of the Service;

create excessive load on the infrastructure, disrupt the operation of the Service, or circumvent its limits and protective mechanisms;

infringe intellectual-property rights or other rights of third parties.

6. Merchant Funds and Content

All data and content you upload to the Service remain yours. web3e does not claim ownership rights to your content.

Cryptocurrency amounts received on your behalf economically belong to you, subject to fees, AML holds, and these Terms. In non-custodial mode, funds settle directly to your wallet and web3e never takes possession of them.

You bear full responsibility for the lawfulness of your relationship with your buyers, for issuing any invoices or receipts, for handling disputes and refunds with them, and for meeting any KYC obligations toward them.

7. AML and Sanctions Screening & Compliance

web3e operates built-in AML screening: every deposit sender and every payout destination is screened against sanctions lists (including OFAC) and on-chain risk and scam lists before funds move.

Deposits flagged as high-risk may be quarantined, and payouts to flagged addresses may be blocked, pending review. web3e may request additional information to release quarantined funds.

You remain solely responsible for KYC/AML and sanctions compliance in your own jurisdiction. Screening by web3e is a control on our side and does not discharge your own legal obligations.

web3e may quarantine funds, block payouts, and suspend or terminate accounts in response to AML hits, sanctions matches, or breach of these Terms.

8. Irreversibility of Transactions and Refunds

Blockchain transactions are irreversible and final. Once confirmed on-chain, a transfer cannot be reversed, recalled, or charged back by web3e, by you, or by anyone else.

Refunds, where offered, are initiated by the merchant and are handled by web3e as an accounting operation: the amount is debited from the merchant's balance and the payment is marked as refunded. web3e does not send the refund to the buyer on-chain — the actual transfer to the buyer is arranged by the merchant itself, outside the Service. A refund may be limited or impossible where the original sender address cannot be reliably determined or is unsafe to return to.

You are responsible for setting and communicating your own refund policy to your buyers, and for the accuracy of any refund destination you approve.

9. Crypto and Market Risk Disclaimer

Cryptocurrencies are volatile and carry risk. The value, liquidity, and convertibility of any token are not guaranteed by web3e.

The token-to-accounting-currency rate is locked at the time an invoice is created (FX-lock); the quote applies within the payment window of that invoice, and where funds arrive after it has expired, the settlement is calculated at the rate in effect at the moment of crediting. Rates may move materially before or after that moment, and market conditions are outside our control.

Stablecoins are credited on an approximately 1:1 basis, but their peg to any reference currency is set by their issuers and is not guaranteed by web3e.

Custodial balances are held solely to enable payouts. They are NOT bank deposits, are NOT insured or guaranteed, and are not an investment product. web3e provides no investment or financial advice, and any decision to use crypto is made at your own risk.

10. Intellectual Property

The web3e Service, its program code, design, trademarks, and other intellectual property belong to the rights holder and are protected by law.

These Terms do not transfer to you any rights to the Service other than the right to use it in accordance with these Terms.

11. Third-Party Services

The Service interacts with third-party systems, including public blockchain networks, wallets, node and infrastructure providers, sources of public sanctions and scam lists, and communication providers.

The use of third-party services is governed by their own terms. web3e is not liable for the availability, operation, fees, confirmation times, or actions of blockchain networks or other third parties.

On-chain finality, network congestion, forks, and reorganizations are inherent properties of public blockchains and are outside web3e's control.

12. Suspension, Blocking and Quarantine

We may suspend, restrict, quarantine funds, or block payouts in the event of an AML or sanctions hit, a breach of these Terms, non-payment of fees, or suspected unlawful activity.

In the case of gross or repeated violations, or where required by law, access to the account may be blocked and funds may be withheld to the extent permitted by applicable law and pending resolution of the matter.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available", without any express or implied warranties, including warranties of fitness for a particular purpose, uninterrupted operation, or the availability or behavior of any blockchain network.

We do not warrant that the Service will operate without errors or interruptions, that any transaction will confirm within a given time, or that the results of its use will meet your expectations.

14. Limitation of Liability

To the maximum extent permitted by applicable law, we are not liable for lost profits; for the market value, volatility, or convertibility of any crypto asset; for irreversibility of on-chain transfers; or for indirect, incidental, or consequential damages arising from the use of or inability to use the Service.

Aggregate liability is limited to the total fees actually paid by you to web3e in respect of the transactions during the three months preceding the event giving rise to liability.

15. Amendment of the Terms

We may amend these Terms. A new version takes effect from the moment of publication, unless another date is specified.

Continued use of the Service after the changes take effect constitutes your agreement with the updated Terms.

16. Governing Law

The parties seek to resolve disputes related to these Terms through negotiations; if agreement is not reached, they are resolved in accordance with applicable law.
